Voysey Seller Agreement

Effective date: September 27, 2026
Last updated: September 27, 2026

This Seller Agreement is between you and Voysey Inc., a Delaware corporation ("Voysey," "we," "us"). It applies when you list content for sale to other users on a Voysey storefront, such as Books by Voysey or Music by Voysey. It adds to our Terms of Service, Privacy Policy, and Usage Policy. If this agreement conflicts with the Terms on a selling matter, this agreement controls.

1. Becoming a seller

To sell, you need a Voysey account in good standing and a completed payout account with our payment processor, Stripe. Stripe will ask you to verify your identity and provide tax and bank details. You must be located in the United States and be at least 18.

You sell as an independent business. You are not our employee, partner, or agent.

2. What you can sell

You can list content you made with Voysey, and content you have the right to sell, as long as it follows the Usage Policy and the law.

You confirm that you own or have all the rights needed to sell each item, including rights to any likeness, voice, music, text, trademark, or other material in it, and that selling it does not violate anyone's rights.

Some storefronts sell physical products made to order from your content, such as printed books, vinyl, and CDs. Voysey arranges production and shipping for those.

3. The license you give Voysey

For each item you list, you give Voysey a worldwide, nonexclusive, royalty free license to host, display, stream, reproduce, and distribute the item, to make previews, samples, thumbnails, and excerpts, to manufacture and ship physical copies of it when a buyer orders one, and to promote it on and off Voysey. You still own your content.

This license lasts while the item is listed. It continues after you unlist the item or leave Voysey only to the extent needed to keep delivering purchases buyers have already made (see section 6).

4. Pricing and the license buyers get

You set your prices, within any minimums and maximums the storefront shows.

For each digital item, the buyer gets the license shown at checkout. Unless you choose a different license the storefront offers, the buyer gets a personal, noncommercial license to download, keep, and enjoy the item, with no right to resell, redistribute, or use it commercially.

A buyer of a physical item owns that copy.

5. Revenue share and payouts

You receive 70% of net revenue from each sale. Voysey keeps 30%.

Net revenue is the price the buyer paid, minus sales tax and similar taxes we collect, and, for physical items, minus the cost of production and shipping for that order. Payment processing fees come out of Voysey's 30%, not your 70%.

We pay you through Stripe monthly, for sales that cleared at least 30 days earlier, once your balance reaches at least $25. Balances below that roll over to the next payout.

Stripe issues the tax forms required by U.S. law (such as Form 1099 K). You are responsible for your own income taxes. We collect and remit sales tax on sales where the law requires the marketplace to do so.

6. What buyers keep

A sale is permanent for the buyer. If you unlist an item, change it, close your account, stop selling, or leave Voysey, every buyer who already paid for it keeps it and keeps their access to download it. We will not revoke a buyer's purchase because of anything you do after the sale.

The only exception is content we are legally required to remove, such as child sexual abuse material, content subject to a court order, or content removed after a valid copyright notice.

7. Refunds and chargebacks

Voysey storefront sales are final, as the Terms explain. When we correct a charge because of our own error, that sale is reversed and does not count toward your earnings.

If a buyer's bank reverses a payment (a chargeback), the amount paid to you for that sale is deducted from your next payout. If the chargeback was caused by our error or by fraud our systems should have caught, Voysey absorbs it.

8. Takedowns and removal

We may remove a listing, withhold payouts for it, or suspend your selling privileges if the item violates this agreement, the Usage Policy, or the law, or if we receive a valid legal complaint about it, such as a copyright notice.

If a listing is removed because you did not have the rights to sell it, we may withhold or reclaim earnings from that listing to cover refunds, chargebacks, and claims. Otherwise, earnings you have already made are yours.

9. Leaving

You can unlist items or stop selling at any time. We will pay you everything you have earned, subject to section 5 and to any amount reserved for pending chargebacks, even after you leave. Section 6 continues to protect buyers after you leave.

We may end this agreement with notice. If we end it for reasons other than your violation, we pay you what you have earned.

10. Indemnity

You will defend and indemnify Voysey against claims arising from items you sell, including claims that an item infringes someone's rights or violates the law, as set out in the Terms.

11. Changes

We may change this agreement, including the revenue share, with at least 30 days' notice. A change to the revenue share never applies to sales made before it takes effect.
